General Terms and Conditions (GTC) — Korefluence

1. Introduction and Scope
- Purpose: These General Terms and Conditions (the "Terms") govern the access to and use of the Korefluence platform (the "Application") and any related escrow, arbitration, and matchmaking services provided by the Owner.
- Binding Agreement: By accessing Korefluence, the User agrees to be legally bound by these Terms.
- Professional Use: This Application is designed exclusively for professional use (B2B). Use by individual consumers for non-professional purposes is strictly prohibited.
2. Account Registration and Use
- Eligibility: Access requires a professional account. Users must provide accurate, current, and sincere information during registration, including valid corporate identifiers where applicable.
- Responsibility: The User is solely responsible for ensuring their use of the Service does not violate any applicable laws, regulations, or third-party rights.
- Acceptable Use: Users may not reproduce, duplicate, copy, sell, or exploit any portion of the Application without express written permission from the Owner.
3. Financial Terms, Escrow Mechanism, and Commission
- Escrow Service: To secure transactions between Brands/Agencies (the "Client") and Influencers/Creators (the "Talent"), Korefluence operates a secure escrow payment mechanism.
- Upfront Payment: Upon confirmation of a campaign or milestone, the Client must deposit the full agreed-upon project fee into the Korefluence escrow account. Funds will be securely held by Korefluence until the content or deliverable is validated by the Client, or until a dispute is resolved.
- Platform Commission: Korefluence charges a mandatory commission fee of 5% (excluding VAT / HT) on the total transaction value of each project facilitated through the Application. This commission is borne exclusively by the Client and is added on top of the agreed Talent remuneration. It is automatically invoiced upon completion of the service or as specified in the applicable billing plan, and holds binding contractual value for all platform Users.
- Late Payments: Subscription or platform fees are payable as per the selected billing plan. Late payments incur penalties calculated at three (3) times the French legal interest rate, plus a flat recovery fee (indemnité forfaitaire pour frais de recouvrement).
4. Dispute Management and Platform Arbitration
- Opening a Dispute: In the event of dissatisfaction, non-performance, or breach of contract by either party, the Client or the Talent may formally open a dispute through the Application prior to the release of the escrowed funds.
- Arbitration Mandate: By using the Application, both parties grant Korefluence an exclusive mandate to act as an independent arbitrator. Korefluence will investigate the claim, review the platform communications and deliverables, and issue a final, binding decision regarding the allocation, partial refund, or full release of the escrowed funds.
5. Non-Circumvention (Exclusivity)
- Prohibition of Direct Dealing: Users acknowledge that Korefluence provides valuable matchmaking and infrastructure services. Brands, Agencies, and Influencers are strictly prohibited from using the Application to identify, contact, or initiate a professional relationship with a counterparty and subsequently bypassing the platform to transact directly.
- Duration and Penalty: This non-circumvention obligation remains in effect during the User's registration and for a period of twenty-four (24) months following the termination of their account. Any violation of this clause will result in an immediate platform ban and makes the violating party liable for liquidated damages equal to the estimated lost commission, without prejudice to further legal remedies.
6. Intellectual Property (IP)
- Platform IP: All content accessible on Korefluence—including databases, algorithms, user interfaces, trademarks, and logos—is the exclusive property of the Owner or its licensors.
- Default Campaign IP Transfer: While specific intellectual property assignments should ideally be formalized in the bilateral contract between the Client and the Talent, a default IP clause applies to avoid deadlocks: As soon as the campaign deliverables are validated by the Client and the corresponding funds are successfully released from escrow, all intellectual property rights, reproduction rights, and exploitation rights to the validated content are automatically transferred to the Client.
7. Compliance with Influencer Regulations
- Contractual Obligation: In accordance with the French "Loi Influence" (Law No. 2023-451), any commercial relationship facilitated through Korefluence must be formalized by a written contract between the Brand/Agency and the Influencer.
- Disclosure: Users must ensure all sponsored content generated through platform campaigns includes mandatory legal labels such as "Publicité" or "Collaboration Commerciale".
8. Liability, Service Availability, and Modifications
- Limitation of Liability: To the maximum extent permitted by law, the Owner's liability for damages related to the execution of this agreement is excluded or limited to typical and foreseeable damages.
- No Warranty: The Service is provided "as is" and "as available." The Owner does not guarantee that the Service will be uninterrupted, error-free, or meet specific User business metrics.
- Service Interruption: The Owner reserves the right to interrupt the Service for maintenance or updates, provided Users are given reasonable notice.
- Modifications: The Owner may modify these Terms at any time. Continued use of the Service following notice constitutes acceptance of the revised Terms.
9. Governing Law and Jurisdiction
- Governing Law: These Terms, and any disputes arising out of or in connection with them, shall be governed by and construed exclusively in accordance with French law.
- Jurisdiction: Any dispute, controversy, or claim that cannot be settled amicably or through the platform's arbitration mechanism shall be subject to the exclusive jurisdiction of the Paris courts (les tribunaux de Paris).
